Vendor terms of service

The fine print, by model.

These terms govern your participation in the PassiveVelocity ("PV") Vendor Program. By submitting an inquiry or subscribing, you ("Vendor") accept the terms for the model you select. PV may update these terms; the version in effect at the time of your acceptance governs your enrollment.

A. Terms common to both models

  • Eligibility & accuracy. Vendor represents that it has the legal right to sell the products or services it lists, that all information provided is accurate, and that its offers comply with all applicable laws, advertising standards, and the rules of any payment network.
  • Prohibited offers. PV may decline, pause, or remove any offer at its sole discretion, including offers that are deceptive, illegal, restricted by payment processors, or that generate excessive refunds, complaints, or chargebacks.
  • Chargebacks & disputes. Vendor is fully responsible for all chargebacks, payment disputes, and refunds arising from its offers and its end-customers, and for any associated bank, processor, or administrative fees. Because PV does not process customer payments or hold customer or Vendor funds, these are settled through the Vendor's own payment systems. Vendor remains directly liable to PV for any platform fees validly owed under these terms; initiating a chargeback against PV's own subscription or platform fees instead of canceling is a material breach, and PV may suspend the account and pursue recovery of the disputed amount plus costs.
  • Excessive dispute activity. If Vendor's offers exceed payment-network chargeback or refund thresholds, PV may review, suspend, or terminate the Vendor's participation and access to the platform. PV does not hold or settle Vendor proceeds and therefore does not withhold payouts; managing customer refunds, reserves, and processor requirements remains the Vendor's responsibility.
  • Indemnification. Vendor will indemnify and hold harmless PV, its affiliates, and personnel from any claims, losses, fines, or liabilities (including reasonable legal fees) arising from Vendor's offers, products, services, representations, or breach of these terms.
  • Limitation of liability. PV provides the platform and services "as is." To the maximum extent permitted by law, PV is not liable for indirect, incidental, or consequential damages, and PV's total liability is limited to the fees Vendor paid to PV in the three (3) months preceding the claim.
  • Termination. Either party may terminate with written notice. Fees already incurred are non-refundable except where required by law. Provisions on chargebacks, indemnification, and liability survive termination.

B. Revenue Participation (default commercial terms)

  • Fee. PV's default fee is fifteen percent (15%) of qualifying net revenue attributed to the Vendor's offer through PassiveVelocity. Affiliate commissions are separate and are funded by the Vendor. Refunds, chargebacks, taxes, and reversed transactions are excluded from qualifying net revenue. These are default, configurable commercial terms confirmed with the Vendor before any offer goes live.
  • Reporting, not custody. PV measures and reports attributed revenue; it does not process customer payments, hold customer funds, or settle Vendor proceeds. The Vendor collects all customer payments through its own checkout and remits PV's participation fee against monthly reconciliation.
  • Term & termination. No long-term contract by default, with a thirty (30) day termination notice. Custom terms are available for high-volume Vendors.

C. Tiered Subscription (auto-renewing platform subscription)

  • Recurring billing & auto-renewal. The selected plan is billed as a recurring monthly subscription that automatically renews each billing period at the then-current plan price until canceled. Vendor authorizes PV (via its processor, Square) to store the payment method and charge it each period without further action by Vendor.
  • Cancellation. Vendor may cancel at any time; cancellation stops future renewals and takes effect at the end of the current paid period. Subscription fees already charged are non-refundable, and partial periods are not prorated, except where required by law.
  • Price changes & failed payments. PV may change plan pricing with reasonable advance notice effective at the next renewal. If a renewal payment fails, PV may retry the charge and may suspend services until payment succeeds.
  • Subscription chargebacks. Because cancellation is self-serve and stops billing, disputing a properly disclosed recurring charge instead of canceling is a breach of these terms. Vendor remains liable for the disputed amount and any associated fees, which PV may recover as described in Section A.

Important Disclosures

Platform Role: PassiveVelocity provides affiliate tracking, offer administration, and transactional reporting tools. PassiveVelocity does not hold customer funds, process offer-related payments, manage Vendor finances, issue returns, guarantee compensation, or assume financial responsibility for third-party offers.

Affiliate Membership: Joining PassiveVelocity as an Affiliate is always free through the Forever Free plan. Individual offers may have their own eligibility, purchase, subscription, deposit, or participation requirements. Those requirements are established and controlled by the Vendor or represented platform, not PassiveVelocity.

Risk Disclosure: Third-party offers involving cryptocurrencies and digital assets can carry substantial risk and are not suitable for every individual. The value of digital assets can be highly volatile, and you may lose some or all of any funds you commit to a third-party offer. Past performance is not indicative of future results.
