This Vendor Agreement governs your use of PassiveVelocity to list and manage offers. PassiveVelocity is a technology and reporting platform: it gives you tools to publish offers, manage Affiliate access, distribute promotional assets, and view reporting on attributed activity.
As the Vendor, you retain full control of and responsibility for the commercial and financial operation of your offer, including:
PassiveVelocity does not process your checkout, hold your customers' funds, issue refunds, fund or pay Affiliate commissions, or fulfill your products or services.
You are responsible for the accuracy of your offer's descriptions, claims, pricing, and disclosures, and for meeting all licensing, regulatory, tax, and consumer-protection requirements in every jurisdiction where your offer is promoted. You must comply with our Acceptable Use Policy and applicable law.
Offers may be reviewed and carry an openly displayed status. Review is a process, not an endorsement or guarantee, and "vetted" does not mean guaranteed. See the Offer Review Policy. PassiveVelocity may pause, suspend, or remove any offer — including for policy violations, complaints, legal risk, or at its discretion — without assuming responsibility for the offer's finances.
You define, fund, and pay the commissions for your offer, and you set eligibility, qualifying events, approval, and payout timing. PassiveVelocity records and reports attributed activity to support your commission decisions but is not a party to, and does not guarantee, those payments.
Because you control the offer's finances and fulfillment, you are responsible for handling customer refunds, returns, chargebacks, fulfillment issues, and Affiliate payout questions for your offer. How disputes are routed is described in the Dispute Policy.
You are an independent controller of the personal data you collect from customers through your own checkout, fulfillment, and support. Your handling of that data must comply with applicable data-protection law. See our Data Processing Terms.
Either party may end this arrangement in accordance with the platform's terms. We may suspend or remove offers and accounts for violations or legal risk, and we may update this agreement; continued use after an update constitutes acceptance. The definitive commercial terms applicable to your account govern in the event of any conflict.
